Maspex Group, one of the largest food and beverage producers in Central and Eastern Europe, has made a significant step in its long-term strategy to consolidate and expand its presence in the premium beverage segment. The company has acquired Purcari Wineries, the leading wine producer in Central and Eastern Europe and the only regional wine group listed on the Bucharest Stock Exchange.

The acquisition was a complex process that required careful coordination to comply with both Polish and Romanian legal frameworks and regulatory requirements. The team responsible for ensuring compliance was led by Grzegorz Dyczkowski, head of the Warsaw office and the firm's Warsaw banking and finance practice. The team included associate Michał Rutkowski and lawyer Natalia Rybak.

The legal aspect of the transaction was also handled by a global law firm, which advised PKO Bank Polski S.A. Varsovia, Sucursala București on a loan to Maspex Romania S.R.L. for the acquisition of Purcari Wineries.

PKO Bank Polski S.A. Varsovia, through its Romanian branch, provided a loan to Maspex Romania S.R.L. to partially finance the acquisition of Purcari Wineries by Maspex Group. This cross-border financing transaction was structured under Polish law.

Purcari Wineries manages over 2000 hectares of vineyards and operates six wineries across Moldova, Romania, and Bulgaria. The company is the largest exporter of bottled wine from Moldova. With this acquisition, Maspex Group now controls about 72.7% of Purcari Wineries' share capital.

Maspex has been present in Romania for nearly 30 years and has steadily strengthened its position through organic growth and strategic acquisitions. This acquisition marks a significant step in Maspex's expansion strategy, focusing on premium alcohol brands.

The Romanian Financial Supervisory Authority (ASF) approved the acquisition as a voluntary takeover. The total transaction was valued at approximately 604 million Romanian lei (around $136 million or nearly EUR 120 million).

This financing deal highlights PKO Bank Polski S.A. Varsovia’s expertise in complex cross-border loans, facilitating a major regional acquisition for Maspex, a significant player in the Central and Eastern European food and beverage market.
