Motorola Solutions Acquires Silvus Technologies to Boost Mission-Critical Communications

In a move to strengthen its position in the mission-critical communications market, Motorola Solutions has completed the acquisition of Silvus Technologies Holdings Inc. for $4.38 billion in cash and $20 million in restricted stock to certain employee equity holders.

Silvus Technologies is a global leader in mission-critical mobile ad-hoc networks (MANET), providing secure, resilient, and infrastructure-independent communication networks. This technology supports bandwidth-intensive technologies like video, sensors, and drones, making it ideal for defense, border security, and public safety applications.

The acquisition will amplify Motorola Solutions' ability to build more powerful solutions, particularly in contested, congested, and electronic warfare (EW) environments. Silvus' advanced solutions are trusted in demanding defense environments for border security and public safety, providing highly secure voice, video, and data links that are self-forming, self-healing, and scalable.

Key Applications and Benefits

  • Defense: Silvus' MANET supports frontline operations in challenging environments by providing low-latency control of autonomous systems like drones and robots, increasing soldier safety and enabling informed tactical decisions.
  • Border Security: The ability to create large-scale, mobile, and adaptive mesh networks without reliance on existing infrastructure allows border security agencies to monitor and respond to threats effectively. Integration with sensors and drones enhances real-time situational awareness over large and challenging terrains.
  • Public Safety: The StreamCaster MANET radios are used by state, local, and federal agencies for critical communications during natural disasters, high-risk tactical operations, and emergency response. Their rugged design and robust wireless networking capabilities ensure reliable, high-power communications that maintain connectivity when conventional networks fail.

Additional Benefits

  • Electronic Warfare Resilience: Features like Spectrum Dominance 2.0 provide layered electronic warfare defense, low probability of intercept/detection (LPI/LPD), anti-jamming capabilities, and advanced threat protection, helping maintain network operation even in contested RF environments.
  • Flexibility and Scalability: The modular software upgrade approach allows users to deploy only needed features or combine them for customized defense profiles, extending the operational life of hardware without compromising performance.
  • Network Robustness: Silvus’ MN-MIMO waveform creates dynamic, adaptive mesh networks capable of linking hundreds of nodes with high throughput, scalability, and self-healing properties, forming a tactical "bubble" that connects personnel, vehicles, unmanned systems, and command elements into a unified network.
  • Autonomous Systems Control: The technology supports secure, low-latency control of drones and unmanned systems critical for surveillance, reconnaissance, and extended situational awareness, reducing risks to human operators.

Motorola Solutions plans to extend Silvus' reach through its global scale and long-standing relationships with government and public safety customers. The purchase agreement includes the possibility of earning up to $600 million in earnout consideration based on business performance. Motorola Solutions will share more information about the acquisition during their quarterly conference call on Aug. 7, which will be webcast live and a replay will be available at www.motorolasolutions.com/investors.

The acquisition marks a significant step forward for both companies, combining Motorola Solutions' innovation in safety and communications with Silvus Technologies' mission-critical mobile ad-hoc network technology.
