Governing Bodies and Organizational Structures

The Board of Trustees at our institution has nine standing committees, each with a unique set of responsibilities and roles. These committees are instrumental in ensuring effective governance, oversight, and alignment with the organization's goals.

The Nine Standing Committees

  1. Executive Committee: This committee is responsible for the effective functioning of the Board, maintaining and developing the working relationship between the Board and the Executive Director, and overseeing strategic and key operational matters such as legislative relations and volunteer appointments.
  2. Governance and Nominating Committee: This committee appoints members to standing committees, designates Chairs and Vice Chairs of each standing committee, and oversees governance-related matters such as Board composition and committee appointments.
  3. Audit & Risk Management Committee: This committee is responsible for overseeing risk management and ensuring the integrity of financial reporting.
  4. Budget & Finance Committee: This committee is responsible for reviewing and approving the institution's budget and financial reports.
  5. Capital Planning Committee: This committee is responsible for overseeing the institution's capital expenditures and long-term planning.
  6. Investment Committee: This committee is responsible for managing the institution's investment portfolio.
  7. Advancement Committee: This committee is responsible for overseeing fundraising, alumni relations, and marketing efforts.
  8. Student & Faculty Success Committee: This committee is responsible for overseeing matters related to student and faculty success, including academic affairs and student life.
  9. Tenure & Promotion Committee: This committee is responsible for reviewing and making recommendations on tenure and promotion decisions.

Committee Charters

Each committee's specific roles and responsibilities are detailed in their respective committee charters, which are periodically reviewed and approved by the Board. These charters outline the composition of the committee, its responsibilities, and operational procedures, tailored to the institution's needs.

To obtain a copy of the committee charters, please contact the Office of the Vice President, General Counsel and Secretary at secretary.office@our website.

For precise roles and responsibilities of each standing committee at a specific institution, it is necessary to review that institution's individual committee charters as approved by its Board of Trustees. For example, Temple University specifies the appointment and membership rules for committees in its bylaws, while others like Evolution Mining emphasize charters that govern composition, responsibilities, and administration.

These standing committee charters serve to ensure clear delegation of authority from the Board to committees, enabling effective governance, oversight, and alignment with organizational goals.

  1. In the Governance and Nominating Committee, members are tasked with appointing members to various committees, designating Chairs and Vice Chairs, and overseeing governance-related matters such as Board composition and committee appointments.
  2. The Budget & Finance Committee, on the other hand, has the responsibility of reviewing and approving the institution's budget and financial reports, contributing significantly to the financial aspect of the business operations.
